SimCortex

This Terms of Service ("Agreement") is a legal agreement between you (either an individual or entity) and SimCortex Pty Ltd ("SimCortex", "we", "us", or "our"), a company registered in New South Wales, Australia. By purchasing, downloading, installing, accessing or using the SimCortex AI assistant ("Product"), you acknowledge that you have read, understand, and agree to be bound by this Agreement.

Acceptance of Terms

By purchasing, downloading, installing, accessing, or using the Product, you agree to comply with and be bound by the terms of this Agreement and our Privacy Policy. If you do not agree with any of the terms, you must not purchase or use the Product.

License and Use of the Product

You must use the Product in compliance with all applicable laws, rules, and regulations, including but not limited to copyright laws.

Subject to your compliance with this Agreement and payment of the applicable fee, SimCortex grants you a non-exclusive, non-transferable, revocable, perpetual license to install and use the Product on devices you own or control, with only one concurrent instance running at any time, strictly for your personal, non-commercial use only.

You may not rent, lease, lend, sell, redistribute, sublicense, share your account credentials, run multiple concurrent instances, reverse engineer, decompile, disassemble, or create derivative works of the Product.

User Accounts

You must create an account to purchase and use the Product. Your license is verified through your account authentication. You are responsible for maintaining the confidentiality of your account information, and you are solely responsible for all activities that occur under your account. You may not share your account with others.

SimCortex reserves the right to suspend or terminate your account if we suspect any breach of this Agreement, which may affect your ability to use certain aspects of the Product or receive updates.

Purchase and Refunds

Access to the Product requires a one-time purchase of a license. You agree to pay the specified purchase price displayed at the time of your order. Payment must be successfully processed before the license is granted and the Product can be downloaded or accessed.

All purchases are final and fees are non-refundable, except where required by applicable consumer law (such as the Australian Consumer Law guarantees) or as otherwise explicitly stated by SimCortex in writing (e.g., a specific limited refund offer).

Privacy

Your purchase and use of the Product and related services are subject to our Privacy Policy. Please review the Privacy Policy for more information on how we collect and use data relating to the use and performance of our products and services.

Limitations on Liability

The Product is provided "as is" and "as available" without any warranty of any kind, express or implied. SimCortex does not guarantee that the Product will meet your requirements or that its operation will be uninterrupted or error-free.

To the maximum extent permitted by law, in no event will SimCortex be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, good-will, or other intangible losses, resulting from your access to or use of or inability to access or use the Product.

Changes to the Agreement

We reserve the right to modify this Agreement at any time. If we make changes to this Agreement, we will provide notice of such changes, such as by sending an email notification, providing notice through the Product interface or our website, or updating the "Effective Date" at the top of this Agreement. Your continued use of the Product after any modification constitutes your acceptance of the modified Agreement.

Jurisdiction

This Agreement is governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in New South Wales, Australia to resolve any legal matter arising from this Agreement.
